Tokyo Innovation Base Membership Agreement
*This document serves as a supplementary material to the 「Tokyo Innovation Base 会員利用規約(https://tib.metro.tokyo.lg.jp/users/terms)」 In the event of any discrepancies between this version and the Japanese version, the Japanese version shall prevail.
Article 1 (General Provisions)
This membership agreement (hereinafter referred to as “this Agreement”) stipulates matters concerning members in relation to the use of Tokyo Innovation Base (hereinafter referred to as “the Project”) operated by the Tokyo Startup and International Financial City Strategy Office.
Article 2 (Name)
The name of this membership organization shall be “Tokyo Innovation Base Members” (hereinafter referred to as “the Members”).
Article 3 (Purpose)
The purpose of this project is to promote innovation from Tokyo through the startup strategy “Global Innovation with STARTUPS” and aims to facilitate the following uses:
– Serving as a platform for startup support, where various bases and stakeholders involved in startup support in Tokyo gather and interact.
– Facilitating connections between startups from Japan and abroad, local governments nationwide, various support organizations, large corporations, and universities.
– Encouraging collaboration among startup stakeholders across organizations and positions to create new support programs.
– Providing a “gathering place” for young people and students with ideas and dreams to form communities and strive together.
– Partnering with startup hubs, support organizations, investors around the world to jointly host corporate exchanges and events.
Article 4 (Secretariat)
The Tokyo Metropolitan Government shall establish a secretariat to carry out the administrative tasks of this project.
The Tokyo Metropolitan Government shall outsource the secretariat duties. The commissioned operator shall have the authority as an agent of the metropolitan government for the implementation of all provisions stipulated in this Agreement.
The secretariat shall be located within Tokyo Innovation Base.
Article 5 (Members)
The types of members of this project shall be as follows:
– TIB Users
Individuals who align with the principles of Tokyo Innovation Base, have strong aspirations to launch innovative businesses with innovative ideas or technologies to create new value in society, including students.
– TIB Partners
Companies or organizations responsible for planning and operating events or programs targeting startups, support organizations, aspiring entrepreneurs, students, etc., utilizing their expertise, networks, etc., possessed by their company in accordance with the principles of TIB.
Article 6 (Services Provided)
This project shall provide the following services to members in order to achieve the objectives of Article 3:
– TIB Users
– Acceptance of consultations regarding startup business or entrepreneurship by concierges with various experiences.
– Use of Tokyo Innovation Base spaces in line with the objectives of Article 3.
– TIB Partners
– Use of Tokyo Innovation Base event spaces.
– Use of Tokyo Innovation Base facilities such as fixtures, audio-visual equipment, power supply, Wi-Fi environment, etc.
– Operational support for the implementation of accredited programs (events, etc.).
– Use of Tokyo Innovation Base spaces in line with the objectives of Article 3.
– Promotion in Tokyo Innovation Base newsletters for Tokyo Innovation Base accredited programs (events, etc.).
– This Project, in order to achieve the objectives outlined in Article 3 and within the bounds of not violating Article 14, provides the following services to individuals or organizations other than members who express interest.
– Non members individuals or groups expressing interest:
– Acceptance of tours or visits to Tokyo Innovation Base.
– Acceptance of participation in events or programs held at Tokyo Innovation Base.
– Distribution of Tokyo Innovation Base newsletters.
– The Tokyo Metropolitan Government reserves the right to amend the services provided. In case of changes, the details of the changes shall be announced at Tokyo Innovation Base or on the official website.
– The use of Tokyo Innovation Base shall be based on separately designated “Facility Usage Regulations.” Also, the use of event spaces shall be based on separately designated “Event Space Usage Regulations.”
Article 7 (Admission)
Admission of members shall be as follows:
– TIB Users
Those who have newly registered necessary information on the official website or official app upon agreeing to the contents of this Agreement when using Tokyo Innovation Base.
– TIB Partners
Corporations or organizations that meet the application requirements of the “TIB Partner Recruitment Guidelines” and have concluded a “TIB Partner Agreement,” or organizations deemed eligible by the secretariat.
Article 8 (Membership Term)
The validity period of membership shall be as follows:
– TIB Users
There is no specified membership term for TIB Users.
– TIB Partners
In accordance with the period specified in the “TIB Partner Agreement.”
Article 9 (Qualification)
Applicants shall be recognized as members from the date of notification from the secretariat confirming their admission as stated in Article 7.
Article 10 (Member Obligations)
Members shall have the following obligations:
– Members shall not disclose confidential information obtained through this project to third parties.
– Members shall actively participate in the activities of this project considering the objectives of Article 3.
– Members shall comply with the separately designated “Tokyo Innovation Base Facility Usage Regulations.”
– Members shall comply with the separately designated “Tokyo Innovation Base Event Space Usage Regulations.”
– In the event that activities in this project may result in the creation of intellectual property, or similar rights, the attribution of such shall be clarified in writing between the parties in advance.
– In case of any changes to membership registration details or facility users, members must promptly submit the changes to the secretariat.
– Members shall cooperate with hearings and other activities conducted by the secretariat.
Article 11 (Membership Withdrawal)
Members may voluntarily withdraw by contacting the secretariat via email or other means to notify their withdrawal.
Article 12 (Participation Fees)
Membership registration fees and facility usage shall generally be free. However, some events or seminars may involve the collection of participation fees.
Article 13 (Prohibitions)
Members shall not engage in the following acts while using Tokyo Innovation Base:
– Acts that violate this Agreement, the “Tokyo Innovation Base Facility Usage Regulations,” or the “Tokyo Innovation Base Event Space Usage Regulations.”
– Other acts deemed inappropriate by the secretariat.
Article 14 (Loss of Membership Qualification)
If a member falls under any of the following items, the secretariat may determine that the member has lost their qualification upon notifying the member:
– Acts that violate this Agreement, the “Tokyo Innovation Base Facility Usage Regulations,” or the “Tokyo Innovation Base Event Space Usage Regulations.”
– Cases where the member is unreachable by the secretariat and lacks the intention to continue membership.
– Cases where there are legitimate reasons for expulsion, such as violating the prohibitions of Article 13, as determined by the secretariat.
– Individuals who have lost their qualifications shall not engage in activities competing with Tokyo Innovation Base using member information within 1 year after losing their qualifications.
Article 15 (Disclaimer)
The Tokyo Metropolitan Government and the secretariat shall not guarantee the management or financial situation of members utilizing the functions of this project. Furthermore, they shall not be responsible for any disputes, damages, etc., arising from negotiations, transactions, contracts, etc., between members participating in this project.
Article 16 (Termination of Member Services)
– The secretariat may terminate the provision of services to members after prior notice to the members.
– In the event of the termination of service provision, the secretariat shall be exempt from responsibility by following the procedures in the preceding paragraph.
Article 17 (Amendment of Regulations)
The Tokyo Metropolitan Government reserves the right to amend these terms as necessary.
In the event of any amendments to these terms, the Tokyo Metropolitan Government shall announce the changes in advance on the official website.
Article 18 (Supplementary Provision)
Enacted and enforced on April 1, 2024.
